By installing, copying, launching, clicking “I accept” (or equivalent) in Setup / PeaSetupHost, extracting the package, or otherwise using Pea AI Coder (“the Software”), you agree to these Terms in full.
If you do not agree: do not install, do not run Setup, do not Launch, and do not use the Software. Delete all copies in your possession. Checking “I accept” (or continuing past Setup / Host acceptance) is binding acceptance even if you did not read the full text.
Mandatory consumer or other rights that cannot be waived in your country remain only to the extent required.
1. Definitions
“Software” means Pea AI Coder as distributed (desktop application, setup tools, pea-server / backend packaging, Electron UI, prompts and agent materials authored by Pea, icons, mascot, documentation, and related files in the official package).
“Local AI Assistant” / “LLM runtime” means any large language model host you configure (including Ollama or compatible local or remote endpoints) and any model weights you download or point the Software at.
“Output” means any text, code, commands, plans, tool calls, file proposals, images, or other content produced with or through the Software.
2. License grant (limited)
Subject to these Terms, you receive a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Software on computers you own or lawfully control, for personal and/or commercial projects.
You may not, without prior written permission from the copyright holder:
- sell, rent, lease, sublicense, or commercially redistribute the Software package (or a modified fork of it) as your own product;
- remove, obscure, or replace Pea branding, or rebrand the Software as another product;
- claim ownership of Pea-authored code, UI, prompts, knowledge packs, mascot, name, or documentation;
- bypass, crack, or disable Setup / license / acceptance gates;
- offer a competing hosted service that wraps Pea as if it were your product without permission;
- scrape, harvest, or systematically extract Pea’s proprietary prompt / agent systems for use in a competing product.
3. Intellectual property
The Software (compiled app, pea-server packaging, Electron UI, setup tooling, Pea-authored prompts / agent materials / knowledge, icons, mascot, name, and documentation) is the exclusive intellectual property of the Pea AI Coder authors / copyright holder. All rights not expressly granted are reserved.
You may not reverse-engineer beyond what applicable law expressly allows; strip copyright or attribution notices; or publish the Software under another name.
Third-party components (including but not limited to Ollama, Python, Electron, npm packages, and third-party model weights / Local AI Assistant runtimes) remain under their own licenses. Pea’s license covers only Pea-authored portions. You must comply with those third-party terms.
4. No warranty — “as is” / “as available”
The Software, documentation, website materials at PeaAI.org, and all AI-related features are provided “as is” and “as available”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, quiet enjoyment, uninterrupted or error-free operation, or compatibility with your hardware, drivers, OS, antivirus, or other software.
We do not warrant that:
- Setup will succeed on every machine;
- Ollama, GPU, VRAM, CPU, RAM, drivers, or any Local AI Assistant / LLM will work as you expect;
- chat, plans, tool use, or code will be correct, safe, secure, or complete;
- files or projects will not be damaged by Output you choose to apply;
- updates will always be available;
- the Software meets any regulatory or certification requirement;
- Discord or third-party community channels are moderated to any standard.
5. AI outputs — you verify
The Software uses local and/or user-configured large language models. Output is probabilistic. It may hallucinate, be wrong, insecure, outdated, biased, incomplete, offensive, or legally problematic.
You are solely responsible for independently reviewing, testing, and verifying every Output before any use, including file writes you keep / accept, shell commands you confirm, and any deployment.
Your sole and exclusive remedy for any Output failure, inaccuracy, omission, or harmful suggestion is to discard or decline that Output. No damages are recoverable solely because an Output was wrong.
Do not treat Output as a substitute for licensed professional advice (legal, medical, financial, engineering safety, etc.) without your own qualified human review.
6. Your use — no author liability for end use
Authors do not control how you use the Software or what you ask any Local AI Assistant to produce. You alone decide tasks, accept file changes, run shell commands, and deploy results.
To the maximum extent permitted by law, authors, contributors, and distributors have no liability for any use you make of the Software or Output, including any lawful or unlawful purpose, any harm to third parties, any account bans, any workplace or school discipline, or any claim arising from code, scripts, automation, security tooling, or other artifacts you create or run.
Nothing in marketing, Discord, or PeaAI.org expands this section.
7. Local / self-hosted use
Pea runs on equipment you control (or a remote Local AI Assistant endpoint you choose). Authors do not operate your PC, GPU, models, or projects. You alone are responsible for runtimes, drivers, backups, model choice, verifying Output, and compliance with applicable law and third-party terms.
8. Limitation / exclusion of liability
To the maximum extent permitted by applicable law, authors, contributors, distributors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of data, profits, revenue, goodwill, business interruption, cost of substitute goods/services, system or hardware damage, driver / VRAM issues, account bans, third-party claims, or any damages arising from reliance on AI-generated Output or from use or inability to use the Software — whether in contract, tort (including negligence), strict liability, or otherwise — even if advised of the possibility of such damages.
Where liability cannot be fully excluded, total aggregate liability for all claims in the aggregate is limited to the greater of (a) the amount you paid specifically for Pea AI Coder in the twelve (12) months before the claim, or (b) zero (0) if the Software was provided free of charge.
These limitations survive termination and apply to the fullest extent permitted. Some jurisdictions disallow certain exclusions; then the exclusion applies only to the maximum extent allowed.
9. Indemnification
You agree to defend, indemnify, and hold harmless the copyright holder, authors, contributors, and distributors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of the Software or Output; your violation of these Terms or of law; your violation of third-party rights; any content, code, or project you generate, distribute, or deploy; and any third-party claim that your use caused harm.
10. Acceptable use
You must use the Software lawfully. Pea is a general-purpose local development and Local AI Assistant tool. Authors do not monitor or approve each task. You are solely responsible if your use violates criminal law, civil law, contract (including game Terms of Service / anti-cheat), or third-party rights.
11. No professional / safety-critical advice
Pea does not provide legal, medical, financial, tax, or other professional advice. Output is not certified for safety-critical, medical, aviation, automotive, nuclear, or similar regulated use without independent review.
12. Data & privacy (Software)
Pea is designed for local use and does not require a Pea cloud account for normal coding. If you enable web-research tools, optional cloud LLM APIs, or Discord, data may leave your machine according to those third parties’ terms. You are responsible for data you enter, store, or transmit. 13. Third-party services & models
Ollama, model vendors, search engines, Discord, payment providers (if used for tips), hosting for PeaAI.org, and other third parties are outside our control. Their outages, license changes, or refusals are not Pea defects.
14. System requirements (informational)
Official guidance may state a recommended minimum of about 6 GB VRAM for comfortable local coding with common Local AI Assistant models, plus adequate RAM, disk, and a supported OS. Requirements are informational. Failure to meet them is not a warranty claim.
15. Export / age
You represent you are legally allowed to download and use the Software where you live (including export/import rules) and that you have legal capacity to accept these Terms (or a parent/guardian accepted for you).
16. No high-risk reliance / no agency
Nothing in the Software creates a partnership, employment, or agency relationship. Marketing on PeaAI.org, Discord, or elsewhere does not expand warranties beyond these Terms. If marketing and these Terms conflict, these Terms control.
17. Termination
This license ends automatically if you breach these Terms. Upon termination you must stop using the Software and destroy copies in your possession (except where law requires retention). Sections on IP, disclaimer, limitation of liability, indemnity, and survival continue.
18. Governing law / venue / severability
These Terms are governed by the laws of the jurisdiction where the copyright holder resides, excluding conflict-of-law rules that would defeat this choice, except where mandatory consumer law requires otherwise. Exclusive venue for disputes (where enforceable) is the courts of that jurisdiction, unless mandatory law says otherwise.
If any clause is held unenforceable, the remainder stays in force. The invalid clause shall be modified to the minimum extent needed to be valid while preserving intent.
19. Class / jury (where allowed)
To the extent permitted by law, you waive participation in class actions against the copyright holder relating to the Software. Where a jury trial waiver is permitted, you also waive jury trial for disputes under these Terms. If your jurisdiction prohibits such waivers, this section does not apply to you.
20. Force majeure
Authors are not liable for delays or failures due to events beyond reasonable control (including internet, hardware, power, war, pandemic, or third-party outages).
21. Changes
The copyright holder may update these Terms. Continued use after notice (including a new Setup acceptance, package TERMS.txt, or publication on PeaAI.org) constitutes acceptance of the updated Terms for future use.
22. Entire agreement / acceptance
These Terms (with in-app / Setup notices and README.txt in the official package) are the entire agreement regarding the Software and supersede prior understandings. Running Setup, checking Accept, Launch, chat, file writes, shell tools, or any other use constitutes acceptance.
